WFN’s Destination Las Vegas Contest Rules

1. CONSENT TO USE PERSONAL INFORMATION: By entering WFN’s Destination Fishing contest (the “Contest”) electronically and voluntarily providing your personal information (including, but not limited to e-mail address, first name, last name, date of birth, city, state or province, zip or postal code, and daytime phone number) (collectively “Registrant Information”) you consent to WFN’s collection and use of the Registrant Information to administer this Contest. In addition, by opting-in online, you consent to WFN’s use of your Registrant Information to contact you to promote draws, interactive features and contests similar to the Contest, promote opportunities to subscribe to WFN newsletters and promotional clubs, notify you about programs and special events, promote marketing initiatives from our partners (i.e. other Insight Sports Ltd. (“ISL”) networks and select advertisers) and automatically enter you into other ISL-sponsored draws and contests (collectively, the uses set above shall be referred to as the “Additional Uses”). Your consent to the Additional Uses may be revoked at any time (without revoking your participation in the Contest or impairing your chances of winning) by writing an e-mail to WFN at info@wfn.tv and writing “unsubscribe” in the subject line, or by writing to WFN at the address set out below.

If you choose to register by mail-in entry to participate in the Contest, or have not opted to the Additional Uses, your Registrant Information will be collected and used by WFN only to administer the Contest and for notifications as set out in these Contest rules and for no other purpose, unless otherwise required by law. Your Registrant Information will not be disclosed or transferred to ISL or any other third party without your consent.

2. CONTEST PERIOD: NO PURCHASE NECESSARY. The Contest shall run from December 1, 2008 to January 6, 2009, inclusive (the “Contest Period”). All entries must be received or post-marked (in the case of mail-in entries) no later than 4:59 p.m. (EST) on January 6, 2009, after which time the Contest will be closed and no further entries shall be accepted.

3. CONTEST PARTICIPATION:

By entering this Contest, you agree to be bound by these Contest Rules. In order to enter the Contest, and qualify for a chance to win the Grand Prize (as defined below) you may enter in either of the following ways:

A) By logging on to the website www.wfn.tv/contest, clicking the Contest banner and
completing and submitting the entry form in its entirety, including the submission of a 150 worlds or less essay about where in the world you would like to fish (the “Essay”); or

B) By mail-in entry to WFN., 184 Pearl Street, Suite 302 Toronto, Ontario M5H 1L5, Attn: WFN’s Destination Fishing Contest, such entry to include your first name, last name, date of birth, city, state or province, zip or postal code, and daytime phone number, and an Essay.

By entering the Contest, each entrant represents that any material submitted to WFN (including the Essay (collectively, the “Material”) is original to him/her and that the entrant has all necessary rights in and to the Material (including, but not limited to, releases from all individuals displayed in, or making up part of, the Material) to enter the Material in the Contest. Entrants agree that the Material becomes the sole property of WFN, who shall have the right to publish, display, reproduce, modify, edit or otherwise use the Material in whole or in part for advertising or promoting the Contest or for other reasons. Entries that are not an original creation of the person submitting it, or which are illegal, defamatory or in any way obscene, all as determined by solely by WFN, will be disqualified.

Only one qualifying (1) mail-in entry per household address and one (1) qualifying entry per e-mail address will be accepted during the Contest Period. Limit of one mail-in entry per outer envelope.

4. GRAND PRIZE: One (1) Grand Prize is available to be won, which consists of:

(a) Round-trip economy airfare for the Grand Prize winner and his/her guest (the “Guest”) leaving from the closest Airport in the city where they reside to Las Vegas, Nevada. (the “Trip”). In the event the Grand Prize winner lives within 200 km of Las Vegas, no airfare will be provided but the Grand Prize winner and Guest will be provided with ground transportation to and from Las Vegas;

(b) Two (2) nights hotel accommodation at Bally’s or New York New York Hotel, or a comparable hotel to be selected by WFN in its sole discretion for the Grand Prize winner and Guest based on double occupancy;

(c) One (1) $200.00 dining card; and

(d) One (1) WFN Gear Pack, consisting of two of each of the following: t-shirt, polar fleece blanket, and zip-up sweater.

The Grand Prize winner and Guest will be responsible for all other costs and expenses related to the Grand Prize, including, but without limitation, additional ground transportation, any applicable departure taxes, transportation taxes, shipping costs associated with the Grand Prize, PST, GST and all other such taxes, travel, repatriation and health insurance (collectively, “Insurance”), personal expenses, gratuities, meals, entertainment, etc. The Grand Prize winner may be required by hotel to provide an accepted and valid credit card to cover incidental charges (including but not limited to: telephone charges, laundry services, room service, etc).

The approximate retail value of the Grand Prize is $2,000.00 CDN and $1,555.80 US based upon the Bank of Canada CAD/USD exchange rate on November 26, 2008. (based on departure from Toronto).

The Trip must be booked through WFN and must be taken between January 6, 2009 and December 10, 2009. The Grand Prize winner must be prepared to make all necessary arrangements. The schedule and events may be altered in any way at the sole discretion of WFN and are subject to the availability of hotel and air transportation. If the Grand Prize winner or Guest is unavailable to attend (for whatever reason) on the dates upon which the Trip is available, then he or she shall forfeit all rights to the Grand Prize and shall not receive anything (including but not limited to any cash equivalent) to compensate for such forfeiture. No changes to travel dates or passenger names are permitted once the booking has been made. The Grand Prize winner and Guest are responsible for obtaining any necessary travel and Insurance documentation before the travel date. The Guest must satisfy the conditions in clauses 5 (ii), 8(c) and 8(d) below to be eligible to participate in the Grand Prize.

If the Grand Prize (or any portion thereof) is forfeited, then it will not be offered to any other entrant and will not be redrawn, unless the WFN decides to redraw in their sole discretion.

5. RANDOM DRAWS AND ODDS: The random draw for the Grand Prize from the eligible entries received will be held in Toronto, Ontario on or about January 8, 2009. The random draw will be carried out by WFN.

Within 48 hours from the time of the draw, the selected entrant for the Grand Prize may be notified either by: (i) an initial telephone call during regular business hours (EST) at the home telephone number or mobile number recorded at the time of entry; or (ii) an e-mail at the e-mail address provided at the time of entry. If the selected entrant cannot be reached within 48 hours from the time of initial contact, an alternative entry may be selected until such time as a selected entrant satisfies the terms of this section.

Once contacted, a selected entrant must, in order to be declared eligible to receive the Grand Prize:

(i) comply with all Contest rules;

(ii) sign WFN’s standard declaration of compliance with the Contest rules, release and consent to publicity form (the “Consent”), which shall serve as the selected entrant’s agreement to release and indemnify WFN and their respective parent(s), subsidiaries, affiliates and/or related companies and each of their officers, directors, shareholders, employees, advisors, assignees, agents, licensees, representatives, advertising, media buying and promotional agencies from any liability in connection with the Contest and/or the prizes. The Guest (or such individual’s parent/legal guardian) must also sign a Consent. If WFN does not receive a signed Consent back from the selected entrant and the Guest within five (5) days from the delivery of the Consent to the entrant, then such entrant/Guest shall forego any right or entitlement to the Grand Prize and WFN may draw another entrant’s name.

(iii) selected entrants resident in Canada must correctly answer a time-limited mathematical skill testing question (which will be administered at a pre-arranged time with the selected entrant) without the assistance of another person or mechanical device; and

(iv) selected entrants resident in the United States must complete and return a Form W9 with their Consent. If WFN does not receive a completed Form W9 back from the selected entrant within five (5) days from the delivery of the Form W9 to the entrant, then such entrant/Guest shall forego any right or entitlement to the Grand Prize and WFN may draw another entrant’s name.

The odds of being selected in the random draw depend on the number of eligible entries received. A qualifying entry may only win once.

6. ELIGIBILITY: This Contest is open to all residents of Canada and the United States, excluding residents of Quebec, who are the age of majority or older within the state or province in which they reside (at the time of entry). The employees of WFNand each of their officers, directors, shareholders, advisors, assignees, agents, licensees, representatives, advertising, media buying and promotional agencies and members of their respective immediate families or persons with whom any of the foregoing is domiciled are not eligible to enter this Contest.

7. COMPLETE SET OF RULES: For an additional set of these Contest rules and/or the Grand Prize winner’s name, send a written request by self-addressed, stamped envelope (ensure that sufficient postage is included) to WFN, 184 Pearl Street, Suite 302 Toronto, Ontario, M5H 1L5, Attention: WFN’s Destination Las Vegas Contest or visit www.wfn.tv/contest or attend in person at the offices of WFN at 184 Pearl Street, Suite 302 Toronto, Ontario, between 9:00 a.m. (EST) and 5:00 p.m. (EST), Monday through Friday (except holidays).

8. GENERAL RULES:

a) WFN shall not be responsible for or bear any liability for: (i) late-received, lost, unintelligible/illegible, incomplete, or misdirected entries; (ii) entries which fail to comply with these Contest rules; and (iii) any failure of the WFN website during the Contest Period, including any problems or technical malfunction of any computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person's computer related to or resulting from downloading any material in the Contest, all of which may affect an entrant’s ability to participate in the Contest. WFN reserves the right to designate one another sole or partial administrator(s) of the Contest.

b) WFN reserves the right to cancel or suspend any portion of this Contest should a virus, bug or other cause beyond the reasonable control of WFN corrupt the security or proper administration of the Contest. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, WFN reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

c) By participating in this Contest, the Grand Prize winner and Guest agrees that his/her name, residence, photograph, voice and/or image may be used in any and all forms of media, without any further compensation by WFN and waives all rights (including moral rights) with respect to printed, broadcast and other forms of publicity. Written confirmation of the foregoing in the form of the Consent referred to above must be executed by the Grand Prize winner and Guest and provided to WFN prior to such winner being declared eligible to receive a Grand Prize.

d) Each entrant (and the Guest) agrees that WFN and its affiliates, officers, directors, shareholders, agents, representatives and employees and all others associated with the development and execution of the Contest shall have no liability and shall be held harmless in respect of any and all manner of action, causes of action, suits, debts, covenants, contracts, claims, and demands, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence, breach of contract and liability for any physical injury, death or property damage which the entrant or his or her administrators, heirs, successors or assigns might have or could have, by reason or arising out of the entrant’s participation in the Contest or in connection with the acceptance or, use or misuse, of the Grand Prize.

e) This Contest is void where prohibited by law and is subject to all applicable federal, state, provincial and municipal laws and regulations.

f) All entries are subject to verification by WFN and WFN reserves the right to cancel and revoke any entries if they are found to be improper or if the entrant is subsequently found not to be eligible pursuant to these Contest rules.

g) In the event of unavailability of the stated Grand Prize (or any portion thereof), WFN, in their sole discretion, reserve the right to substitute a prize of equal or greater value.

h) The Grand Prize is not transferable, not refundable, not redeemable for cash, will not be extended under any circumstances and must be accepted as offered. Any unused portions of the Grand Prize will be forfeited and will have no cash value.

i) By participating in this Contest, entrants agree to be bound by these Contest rules and the decisions of WFN in awarding the prizes, which decisions shall be final and binding upon all entrants. Failure to comply with these rules may void an entrant’s rights vis a vis the awarding of the Grand Prize. Interpretation of these Contest rules by WFN shall be final. Shipped prizes shall not be insured and WFN shall not assume any liability for lost, damaged, or misdirected prizes. Shipped prizes will be shipped by Canada Post mail within sixty (60) days of WFN receiving a properly completed and signed Consent from each Content winner, as applicable.

j) WFN may terminate this Contest at anytime and may amend the rules or administration of this Contest without notice in their sole discretion in any commercially reasonable manner.

k) In the event of a dispute as to who submitted an electronic entry, the entry will be deemed to have been submitted by the authorized account holder of the e-mail address submitted at the time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Selected entrants may be required to provide WFN with proof that he/she is the authorized account holder of the e-mail address associated with the selected entry.

l) The Contest shall be governed in accordance with the laws of the Province of Ontario and the federal laws of Canada.
